1. Acceptance of Terms

By creating an account on or accessing unicornmarket.net ("the Service"), operated by Red Impact ("we", "our", "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our Service.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use this Service.

2. Description of Service

UnicornMarket is an online marketplace connecting buyers and sellers of SaaS businesses and digital assets. We provide the platform, tools, and escrow payment infrastructure to facilitate transactions between users. We are not a party to transactions between buyers and sellers — we act as a facilitating platform and payment intermediary.

Our Service includes: marketplace listings, offer negotiation, secure escrow payments, asset transfer management, and deal room communication.

3. User Accounts

To use the Service, you must create an account and select a role (buyer or seller). You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate, current, and complete information
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or are inactive for an extended period.

4. Payments, Escrow, and Fees

4.1 Payment Processing

All payments are processed through Stripe, our third-party payment processor. By making or receiving payments on UnicornMarket, you also agree to Stripe's Terms of Service. We do not store credit card information on our servers.

4.2 Escrow Protection

When a buyer makes a payment, funds are held in escrow on the UnicornMarket platform (via Stripe). Funds are not released to the seller until the transaction is completed. This protects both parties during the asset transfer process.

  • Funds are held in escrow from the moment of payment until all required assets have been transferred and approved by both parties
  • The seller initiates the fund release after all required assets reach "both approved" status
  • If no action is taken, funds are automatically released to the seller 7 days after all required assets are approved, unless either party cancels the auto-release
  • In exceptional circumstances, an administrator may override the escrow to release or hold funds, with a mandatory audit trail

4.3 Platform Fees

UnicornMarket charges a 5% platform fee on each transaction, calculated on the agreed deal amount. This fee is deducted from the seller's proceeds at payout. The buyer pays only the agreed deal amount. The seller receives the agreed amount minus the 5% platform fee and any applicable Stripe processing fees.

4.4 Refunds and Cancellations

  • If a deal is canceled before payment, no charges apply
  • If payment has been made but assets have not been transferred, the buyer may request a refund by contacting support
  • Once funds have been released to the seller, refunds are subject to negotiation between buyer and seller, with UnicornMarket acting as mediator if necessary
  • Chargebacks and disputes are handled through Stripe's dispute resolution process

4.5 Seller Payout Requirements

To receive payments, sellers must complete Stripe Connect Express onboarding, which includes identity verification and bank account setup. Sellers are responsible for maintaining an active Stripe account. If a seller's Stripe account is terminated or restricted, payouts may be delayed or withheld until the issue is resolved.

5. Deal Process and Asset Transfer

Transactions on UnicornMarket follow this process:

  1. Listing: Seller creates a listing with product details and asking price
  2. Offer: Buyer submits an offer, which the seller can accept, reject, or counter
  3. Mutual approval: Both buyer and seller must explicitly approve the deal terms before payment can proceed
  4. Payment: Buyer pays the agreed amount via Stripe Checkout. Funds are held in escrow. The 5% platform fee is deducted from the seller's payout.
  5. Asset transfer: Seller delivers required assets (source code, domains, customer data, etc.) through the deal room
  6. Verification: Buyer reviews and approves each asset. Both parties must confirm each asset for it to be considered complete.
  7. Fund release: Once all required assets are approved, the seller releases funds (or they auto-release after 7 days)

Users are responsible for conducting their own due diligence before entering into transactions. UnicornMarket does not verify the accuracy of listings, the quality of assets, or the financial performance of businesses listed on the platform.

6. Disputes

If a dispute arises between buyer and seller, the parties should first attempt to resolve it directly through the deal room communication tools. If a resolution cannot be reached:

  • Either party may contact UnicornMarket support for mediation
  • UnicornMarket may, at its discretion, review the dispute and make a determination regarding the release or refund of escrowed funds
  • Payment disputes and chargebacks are processed through Stripe's standard dispute resolution mechanism
  • During an active dispute, escrowed funds are frozen and cannot be released until the dispute is resolved

UnicornMarket's role in dispute resolution is limited to facilitating communication and, where possible, mediating between parties. We do not guarantee the outcome of any dispute.

7. Prohibited Activities

You agree not to:

  • List fraudulent, stolen, or misrepresented assets
  • Manipulate pricing, reviews, or marketplace metrics
  • Circumvent the escrow system or attempt direct off-platform payments
  • Use the Service for money laundering or other illegal activities
  • Harass, threaten, or abuse other users
  • Attempt to access other users' accounts or data
  • Use automated tools to scrape or exploit the platform
  • List content that infringes third-party intellectual property rights

Violations may result in account suspension, deal cancellation, and forfeiture of funds.

8. Intellectual Property

The UnicornMarket platform, including its design, code, branding, and documentation, is owned by Red Impact and protected by international copyright and trademark laws. Users retain ownership of their listings and uploaded content, but grant UnicornMarket a limited license to display and process that content as necessary to operate the Service.

9. Limitation of Liability

UnicornMarket is provided "as is" without warranties of any kind. To the maximum extent permitted by law:

  • We are not liable for transactions between users, including the quality, legality, or accuracy of listed assets
  • We are not responsible for losses arising from unauthorized access to your account
  • Our total liability for any claim shall not exceed the platform fees you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Sheridan County, Wyoming, unless otherwise required by applicable law (e.g., EU consumer protection regulations).

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
